(4)Aims and Objectives:
(a)To build up a close fraternity among the members of the Association.

(e)To visit the age old members by the committee members of the Association.
(f)To do all such things and perform all such acts as may be necessary or appropriate for the achievement of the above objectives.

(5)Membership:
(a)Any person who is a resident of the Thiruvananthapuram Corporation area and who is a senior citizen (above 60 years).
(b)Any person who satisfies the clause 5(a) above shall be admitted as a member provided (i) an application in the prescribed form is submitted for admission. (ii) the one-time membership fee is remitted and (iii) he/she is recommended for admission by the Scrutiny Committee constituted for that purpose.The secratary shall place such applications before the Executive Committee (EC) for consideration and admission as a member.
(c)One time membership fee will be Rs 1000/- (Rupees One thousand only)
(d)A Register containing the names and addresses of all the Association members is to be kept in the Registered Office.
(e)The General Body (GB) has the power to reject the membership of any one or to remove the name of any one from the membership of the Association, on sufficient grounds.

(6)Office Bearers and Executive Committee (EC):
(a)The Association will have patrons who will be permanent members of the EC with voting rights. (b)The Association wil have a President, two vice-Presidents, Secretary, two Joint Secretaries, a Treasurer and ten Executive Committee members. At least four of all the members shall be women. (c)The office bearers and EC members shall be elected by the GB using individual of panel proposals. The proposal shall be properly seconded. A Returning Officer is to be appointed by the EC for the conduct of the election of Office Bearers and EC members.
(d)The term of the EC will be three years or till a new EC assumes charge.

(7)Rights, Duties and Powers of the Office Bearers:
(a) President: He(she) shall preside over the meetings of the EC and GB. He shall be primarily responsible for the coordination of the activities of the Association and for its liaison with various other agencies as and when comes necessary.
(b) Vice-Presidents: The senior most vice-President shall act for and behalf of the President in his absence. The vice-Presidents shall carry out the duties and functions delegated by the EC.
(c) Secretary: He(She) shall be the chief executive of the Association. He will implement the decisions of the EC and the GB. He shall issue notice (by letter, e-mail or over phone) of the GB and EC meetings, with the concurrence of the President. He along with the Treasurer, shall operate the Bank accounts of the Association. Secretary will be the custodian of all records of the Associatin except cash book, cheque book and pass book. he will be responsible for all the internal and external correspondences. Secretary shall prepare the annual report and minutes of the meetings of the Gb and place them before the GB. He shall also prepare the minutes of the EC meetings and present before the subsequent EC meetings.
(d) Joint Secretaries: They shall help the secretary in all the matters of the Association. The senior most joint Secretary will act for and on behalf of the secretary in his absence. The EC can delegate duties and functions to the joint secretaries.
(e) Treasurer: He(she) shall make all disbursements on proper vouchers and receive all monies on proper receipts. He shall maintain the accounts of the association and present properly audited annual statements before the GB. He shall also present statement of accounts for every three months before the EC for periodic examination and approval. He shall maintain the cash book, cheque book and pass book. The treasurer will operate the Bank accounts along with the Secretary.

(8)General Body:
It consists of all the members of the Association. Quorum of the GB meeting shall be 1/10 of the members in the roll or 20 whichever is less. If a GB meeting doesn’t have the required quorum, the meeting shall be postponed. The subsequent meeting can be conducted even if no quorum is there. But only agenda of the postponed meeting shall be discussed in the subsequent meeting. GB meeting shall be convened at least once a year. Extraordinary meetings of GB shall be convened onthe basis of a written request of at least 1/10 of the total number of members in the roll of the Association. All decisions of the Association willbe on majority basis. If voting is required, each assembled member including the President will have only one vote. However, in the event of a tie, the person presiding over the meeting will have a casting vote. The GB meeting shall ordinarily be conducted in April every year for business transactions. For GB meetings, seven days notice shall be given. The GB has the following power and rights:
(i) The GB will be the supreme authority of the Association.
(ii)To manage the properties of the Association.
(iii)To assign from time to time such functions and duties and delegate such powers it deems fit to the EC.
(iv)To consider and approve the annual budget and audited receipt and expenditure statements of the Association.
(v) To make amendments to the bye-law.

(9)Executive Committee:
The Executive Committee shall consist of seven office bearers, 10 members and all the patrons. The EC shall meet as frequently as required, but at least once in every three months. The quorum of the executive committee meeting shall be 11. The administration and management of the affairs of the Association shall be carried out by the EC. The EC shall prepare and execute plan and programme for the Association. It can set up subcommittees if necessary. It shall arrange for the auditing of the annual accounts statements. The EC shall execute all the decisions taken by the GB.

(10)Suits and Proceedings:
Jurisdiction: Thiruvananthapuram. Secretary shall be the person to sue and to be sued.

(11)Amendments of the Bye-Laws:
Amendments to the Bye-Laws may be proposed by individuals or by the EC. It shall be incorporated with the approval of 2/3rd majority of the members present in the meeting of the GB. The Bye-Law amendment proposal shall reach the EC not later than seven days of the GB meeting.

(12)Association Fund:
The fund of the Association will be from membership fee, contributions and donations from members and well wishers and any grant received from authorities and sponsors.

(13)The Financial year of the Association will be from 1st April to 31st March.

(14)Dissolution:
The Association may be dissolved by a decision made to that effect by 3/4th majority of the members present in the GB. If upon dissolution, there shall remain, after making payments of all liabilities, any property, it shall be transferred in accordance with the provisions of the Travancore-Cochin Literary Scientific and Charitable Societies Registration Act XII of 1955, Rules 24 to 26.

(15)The Association will be functioning in accordance with the provisions of the Travancore- Cochin Literary Scirntific and Charitable Societies Registration Act xII of 1955.
